A senior member of a large hedge fund approached our Corporate Services team to support the establishment of a joint venture with a London-based developer, investor and asset manager. The partnership related to a significant Central London development project and required a carefully structured solution to support a multi-phase investment strategy over the long term.

  • Worked closely with the client and their advisers to design and implement an appropriate joint venture structure.
  • Established a Jersey holding company to act as the joint venture vehicle between the parties.
  • Structured the project to accommodate seven development phases over a 10–15 year period across sectors including build-to-rent, office space and life sciences.
  • Created a layered structure for each phase involving a Jersey Property Unit Trust and two Jersey companies, with the underlying asset held through a UK LLP.

Our client is a US healthcare real estate investment trust (REIT) that invests in high-quality healthcare facilities, specialising in acute care, community and rehabilitation hospitals. The organisation has grown to become one of the world’s largest hospital owners, with facilities across eight countries and three continents.

  • Appointed in May 2019 by the client’s UK tax adviser to provide full management services for eight UK special purpose vehicles (SPVs), each holding a privately owned UK healthcare property.
  • Delivered director, company secretarial and administration services to support the management and governance of the structures.
  • Worked closely with the client and its advisers following the acquisition of a further 35 privately owned UK hospitals later that year.
  • Assisted with the transfer of these companies under our administration and supported the structuring of the entities and associated legal documentation.

A trusted adviser working closely with our Guernsey team introduced a life assurance client seeking to structure securitisation transactions within the Insurance Linked Securities (ILS) sector. The client wished to monetise specific income receivables linked to life assurance premiums in order to realise capital immediately, supporting future expansion without increasing gearing on its balance sheet.

  • Recommended Guernsey as the jurisdiction due to its cellular company legislation and well-established infrastructure for ILS structures.
  • Established an Incorporated Cell Company (ICC) structure to support multiple securitisation transactions over time.
  • Structured each transaction within a separate incorporated cell, owned by a purpose trust, ensuring each deal is fully ring-fenced.
  • Enabled each cell to issue a 10-year fixed interest bond to institutional investors, using the proceeds to acquire a portfolio of life assurance receivables.
